The case concerned contractual commitments made in return for entrance fees and recurring fees and the allegation was that the entrance fees were diverted for purposes other than the contractual promises which were made to induce those payments while duplicate charges were made through the recurring fees for the fulfillment services that the entrance fees should have funded.  It was settled by agreement among the parties.
